TERMS AND CONDITIONS (ENGLISH)


  1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
  2. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, BYRNA JALISCO reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. BYRNA JALISCO will be authorized to suspend any provision of services without prior warning in the event of late payment.
  3. If a payment is still outstanding more than sixty (60) days after the due payment date, BYRNA JALISCO reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
  4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can BYRNA JALISCO become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to BYRNA JALISCO in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
  5. BYRNA JALISCO undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. BYRNA JALISCO cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
  6. In order for it to be admissible, BYRNA JALISCO must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
  7. All our contractual relations will be governed exclusively by Mexico law.


Términos y Condiciones (español)


  1. El cliente renuncia explícitamente a sus propias condiciones generales de venta, incluso si se redactaron después de estas condiciones generales de venta. Para que sea válida, cualquier excepción debe acordarse expresamente por escrito con antelación.
  2. Nuestras facturas deben pagarse en un plazo de 21 días hábiles, a menos que se indique otro plazo de pago en la factura o en el pedido. En caso de impago en la fecha de vencimiento, BYRNA JALISCO se reserva el derecho de solicitar el pago de un interés fijo del 10% de la suma restante adeudada. BYRNA JALISCO estará autorizada a suspender cualquier prestación de servicios sin previo aviso en caso de demora en el pago.
  3. Si un pago sigue pendiente más de sesenta (60) días después de la fecha de vencimiento, BYRNA JALISCO se reserva el derecho de recurrir a los servicios de una empresa de recuperación de deudas. Todos los gastos legales correrán a cargo del cliente.
  4. Algunos países aplican retenciones en la fuente sobre el importe de las facturas, de acuerdo con su legislación interna. Las retenciones en la fuente que se realicen serán abonadas por el cliente a la Hacienda Pública. BYRNA JALISCO no podrá en ningún caso verse envuelto en costes relacionados con la legislación de un país. Por tanto, el importe de la factura será adeudado a BYRNA JALISCO en su totalidad y no incluye los costes relacionados con la legislación del país en el que se encuentre el cliente.
  5. BYRNA JALISCO se compromete a hacer todo lo posible para prestar los servicios de manera eficaz en el plazo acordado. Sin embargo, ninguna de sus obligaciones puede considerarse una obligación de resultado. BYRNA JALISCO no podrá en ningún caso ser obligada por el cliente a comparecer como tercero en el marco de cualquier reclamación por daños y perjuicios interpuesta contra el cliente por un consumidor final.
  6. Para que sea admisible, BYRNA JALISCO deberá ser notificada de cualquier reclamación mediante carta enviada por correo certificado a su domicilio social dentro de los 8 días siguientes a la entrega de los bienes o la prestación de los servicios.
  7. Todas nuestras relaciones contractuales se regirán exclusivamente por la ley de México.
